Unified Terms of Use & Privacy Policy

This unified legal notice combines our Terms of Use, Privacy Policy, and Cookies Notice for DNPL LLC FZ ("DNPL", "we", "us", "our") and applies to our website, mobile app, and related services (the "Services"). By using the Services, you agree to these terms. If you do not agree, do not use the Services.

Note: This template is provided for general informational purposes and should be reviewed by legal counsel for compliance with UAE PDPL, GDPR (if applicable), and sector-specific requirements.

1) Interpretation & Definitions

Capitalised terms have the meanings set out below. Singular includes plural and vice‑versa.

  • Affiliate: an entity controlling, controlled by, or under common control with a party, where "control" means ownership of ≥50% voting interests.
  • Country: United Arab Emirates.
  • Company / DNPL: DNPL LLC FZ, Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E.
  • Device: any device that can access the Services.
  • Website: https://dnpl.ai.
  • User / you: the individual or legal entity using the Services.
  • Merchants: third‑party sellers providing goods/services to Users via DNPL journeys.

2) Eligibility, Accounts & Verification

  • You must be 18+ and legally capable to enter binding contracts.
  • You agree to provide accurate information and keep your account secure. You are responsible for all activity under your account.
  • We may conduct KYC/AML, credit checks, and other verification as permitted by law and relevant regulators.
  • We may refuse, suspend, or terminate accounts where requirements are not met or for risk/fraud concerns.

3) Acceptable Use

You agree not to misuse the Services. Prohibited actions include: illegal activities, infringing IP, interfering with security, data scraping, reverse engineering, and unauthorized access. We may monitor misuse and take action.

4) Financing, Payments & Fees

  • Eligibility & Limits: Financing offers are subject to assessment, limits, and availability. Offers may vary by Merchant and jurisdiction.
  • Repayments: You must pay instalments on time. Late or missed payments may incur fees, affect future eligibility, and may be reported to credit bureaus if permitted by law.
  • Authorisations: You authorise DNPL and its payment partners to charge your selected payment method per the agreed schedule.
  • Disputes/Refunds: Product/service disputes are between you and the Merchant. Approved refunds are applied to outstanding instalments per the relevant card scheme/payment rail rules.
  • Merchant Terms: Merchants must comply with DNPL onboarding, branding, refund, and chargeback rules. Additional Merchant terms may apply.

5) Intellectual Property

All content, trademarks, logos, and software are owned by DNPL or its licensors. You are granted a limited, revocable, non‑transferable licence to use the Services for personal or authorised business purposes.

6) Third‑Party Services & Links

We may link to or integrate third‑party services. We are not responsible for their content or practices. Review their terms and privacy notices.

7) Disclaimers & Limitation of Liability

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind. To the maximum extent permitted by law, DNPL and suppliers are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business interruption. Our aggregate liability for all claims relating to the Services shall not exceed the greater of USD 100 or the amount you paid to us in the 12 months preceding the claim.

Some jurisdictions do not allow certain exclusions; where prohibited, this clause applies to the maximum extent permitted.

8) Suspension & Termination

We may suspend or terminate access immediately for breach, fraud/risk, or as required by law. Upon termination, your right to use the Services ceases; clauses intended to survive will do so.

9) Governing Law & Dispute Resolution

These terms are governed by the laws of the United Arab Emirates (without regard to conflicts rules). You agree to first attempt to resolve disputes informally by contacting us.

If your local mandatory law (e.g., EU consumer law) provides additional protections, those remain unaffected.

10) Privacy Policy

We respect your privacy. This section explains what we collect, why, how we share it, and your choices.

10.1 Data We Collect

  • Identity & Contact: name, email, phone, address, Emirates ID, driving licence.
  • Financial: payment method details, IBAN, transaction history; credit bureau data where legally permitted.
  • Merchant & Transaction: purchase details, instalment plans, refunds/chargebacks.
  • Technical: device, IP, app/website usage logs, diagnostics.
  • Support & Communications: messages, call/chat recordings where disclosed.

10.2 How We Use Data

  • Identity verification (KYC), eligibility and risk assessment (AML/fraud), and provision of BNPL services.
  • Payment processing, collections, refunds, and chargeback handling.
  • Service delivery, analytics, product improvement, and security monitoring.
  • Legal/regulatory compliance and reporting to competent authorities.
  • Marketing with your consent (where required) and service communications.

10.3 Sharing

  • Processors/Providers: cloud hosting, payment gateways, analytics, KYC vendors under contract.
  • Partners: banks/financial institutions, Merchants, and credit bureaus where lawful.
  • Authorities: when required by law or to protect rights/security.
  • We do not sell personal data.

10.4 Security & Storage

  • Encryption in transit and at rest; access controls and logging.
  • Primary hosting intended in UAE regions (e.g., Azure UAE). Exact locations may vary with providers.
  • We retain data only as necessary for Services and legal obligations, then delete/anonymise.

10.5 International Transfers

Where data is transferred outside your country, we implement appropriate safeguards (e.g., contractual clauses) as required by applicable law.

10.6 Your Rights

Subject to law (e.g., UAE PDPL, GDPR), you may have rights to access, rectify, erase, restrict, object, and portability. You can also withdraw consent where processing is based on consent.

10.7 Children

Services are not directed to individuals under 18. If you believe a minor provided data, contact us to remove it.

11) Cookies & Tracking Technologies

We use cookies, SDKs, and similar tech to operate and improve the Services, measure performance, and personalise content/ads (where permitted). You can manage cookies in your browser or app settings. Some features may not function without certain cookies.

12) Severability & Waiver

If any provision is unenforceable, it will be modified to the minimum extent necessary; the remainder remains effective. Failure to exercise a right is not a waiver.

13) Changes to this Unified Notice

We may update this page. For material changes, we will provide reasonable notice (e.g., banner, email, or in‑app). Continued use after the effective date constitutes acceptance.
